2. Products

CINNOVELIA sells paid add-on modules for the Lockal application (the "Modules"), as software licenses. The base Lockal application remains free.

The essential features of each Module (features, price, license duration) are presented before ordering on the website.

3. Prices

Prices are shown in TODO (EUR / USD), including applicable VAT for consumers residing in the European Union, excluding taxes for business customers. Applicable VAT depends on the buyer's country of residence and is calculated at checkout. For customers outside the EU, local taxes (sales tax, GST, etc.) may apply.

4. Order

Orders are placed online via the website or within the Lockal application. The buyer selects the Module, reviews the order summary, accepts these Terms and proceeds to payment. The order is final once payment is confirmed.

5. Payment

Payments are processed by our provider TODO (e.g. Stripe, Paddle, LemonSqueezy). Accepted methods are TODO (card, SEPA, Apple Pay, etc.). CINNOVELIA does not store any card data.

6. Delivery

Modules are delivered digitally: a license key is sent by email and/or the Module is automatically activated in the application, immediately after payment confirmation.

7. Right of withdrawal (EU consumers)

Under article L221-18 of the French Consumer Code, consumers have 14 days from the conclusion of the contract to withdraw, without having to justify their decision.

Exception — digital content: pursuant to article L221-28, 13° of the French Consumer Code, the right of withdrawal cannot be exercised for the supply of digital content not provided on a tangible medium where performance has begun after the consumer's prior express consent and express waiver of their right of withdrawal. By confirming your order and activating the Module, you expressly request immediate supply of the digital content and expressly waive your right of withdrawal. No refund will be due once the license key is delivered or the Module is activated.

8. License agreement (EULA)

8.1 License grant

CINNOVELIA grants the buyer a non-exclusive, non-transferable, non-sublicensable and revocable license to use the Module, for the duration and within the limits specified at the time of ordering (typically per user and/or per device).

8.2 Scope

The license authorizes installation and use of the Module on the agreed number of devices, by the natural or legal person who acquired the license, for internal use only. Resale, sublicensing, sharing or redistribution are prohibited.

8.3 Restrictions

The buyer agrees not to:

• copy, reproduce or distribute the Module beyond the license scope;
• reverse engineer, disassemble or decompile, except to the extent strictly permitted by law (notably for interoperability);
• bypass or alter the license verification system;
• remove or hide intellectual property notices.

8.4 Ownership

The Module remains the exclusive property of CINNOVELIA (or its licensors). The license transfers no intellectual property rights. Any open source components included are governed by their respective licenses.

8.5 Updates

During the license period, CINNOVELIA may provide Module updates. The buyer accepts that such updates may alter features without materially changing the license's subject matter.

8.6 Termination

CINNOVELIA may terminate the license in case of serious breach (notably breach of restrictions, key piracy). Termination requires the buyer to immediately cease all use of the Module.

9. Warranties

Consumer buyers benefit from the legal warranty of conformity (articles L217-3 et seq. of the French Consumer Code) and from the warranty against hidden defects (articles 1641 et seq. of the French Civil Code). In case of defect, contact contact@lockal.ai.

10. Liability

CINNOVELIA undertakes to deliver the Module in accordance with its description. The Module is provided "as is" for its non-essential aspects. CINNOVELIA's liability is limited, except in cases of gross or intentional misconduct and within the limits permitted by law, to the amount paid by the buyer for the relevant Module over the last 12 months.

11. Mediation and dispute resolution

In case of dispute, consumers may freely resort to a consumer mediator: TODO mediator details. EU Online Dispute Resolution platform: ec.europa.eu/consumers/odr.

12. Governing law

These Terms are governed by French law. Consumers residing in the European Union benefit from the protective provisions of their country of residence.
