Terms of Use

1. Purpose

These terms of use ("Terms") govern access to and use of the lockal.ai website and the Lockal application, published by CINNOVELIA ("we"). Sales of paid modules are governed by a separate document, the Terms of Sale and License (EULA).

2. Acceptance of the Terms

Acceptance of these Terms is express. It results from (i) downloading and installing the Lockal application and (ii) the explicit confirmation requested at first launch of the application. If you do not accept the Terms, you must uninstall the application and stop using the website.

3. Service description

Lockal is a desktop application that runs artificial intelligence models locally on the user's machine. The software is offered under a freemium model: a free base version and optional paid modules.

4. Eligibility — minimum age 18

Use of Lockal is strictly reserved to adults (18 years and older). By downloading, installing or using the software, you represent and warrant that you have reached the legal age of majority in your country of residence and are at least 18 years old. CINNOVELIA reserves the right to suspend or terminate without notice any account created in violation of this condition.

5. Access and account

Access to the website is free. The Lockal application can be downloaded without an account. An account may be required to activate certain paid modules. The user undertakes to provide accurate information when creating an account, to keep their credentials confidential and to notify us without delay of any unauthorized use.

6. Acceptable Use Policy

You agree to use Lockal in a lawful, ethical and responsible manner. The following uses are prohibited:

You agree not to use Lockal outputs as the sole basis for decisions in high-impact areas affecting people (health, employment, credit, justice, immigration, education, law enforcement) without qualified and appropriate human supervision.

In accordance with article 50 of Regulation (EU) 2024/1689 on AI ("AI Act"), we inform you that:

AI model outputs may be inaccurate, incomplete, biased, outdated or entirely fabricated ("hallucinations"). They do not constitute professional advice (medical, legal, financial, tax, psychological, therapeutic, nor an automated decision). You must always verify critical information against authoritative sources and consult a qualified professional for any important decision.

8. Third-party AI models and components

Lockal allows running third-party AI models, such as, without limitation: Llama, Mistral, Phi, Gemma, Qwen, etc., as well as open source components. Each of these is governed by its own license (Llama Community License, Apache 2.0, MIT, Gemma Terms of Use, etc.). It is your responsibility to read and comply with these licenses, in particular commercial use restrictions and acceptable use rules specific to each model. CINNOVELIA is not the publisher of these third-party models and cannot be held liable for their outputs or for the user's failure to comply with their licenses.

9. User-generated content

All content (prompts, documents, conversations, outputs) generated or processed by Lockal remains the property of the user and stays locally stored. CINNOVELIA has no access to it. You are solely responsible for the legality of and compliance with third-party rights regarding the content you provide as input and the content you disseminate as output.

10. Intellectual property

The website, the Lockal application, its code, interfaces, brand and content are protected by copyright and trademark law. CINNOVELIA grants you a personal, non-exclusive, non-transferable and revocable license to use the free application. Licenses applicable to paid modules are set out in the Terms of Sale (EULA).

11. Availability and maintenance

CINNOVELIA strives to keep the website and license servers available. Interruptions may occur due to maintenance, updates or force majeure. As the application runs locally, its operation does not in principle depend on the availability of our servers, except for license verification of paid modules. No guarantee of uninterrupted availability is provided.

12. Suspension and termination by CINNOVELIA

CINNOVELIA may suspend or terminate your access to the website, your account or a module, without notice or compensation, in case of:

Termination requires you to immediately cease all use of the service and, where applicable, the relevant paid modules. No refund will be due for modules whose license is terminated for user fault.

13. Indemnification by the user

You agree to defend, indemnify and hold harmless CINNOVELIA (as well as its officers, employees and partners) from any claim, action, damage, loss, cost or expense (including reasonable legal fees) arising from: (i) your breach of these Terms, (ii) use of the software in violation of applicable laws, (iii) infringement of third-party rights (intellectual property, privacy, defamation, etc.) due to your use of the software's outputs. This obligation survives termination of these Terms.

14. "As is" warranty

To the fullest extent permitted by applicable law, the free Lockal application is provided "as is" and "as available", without express or implied warranty of fitness for a particular purpose, absence of error, continuity of service or conformity to specific expectations. Statutory warranties applicable to consumers (warranty of conformity, hidden defects) remain reserved and are not affected by this clause.

15. Limitation of liability

Except in case of gross or intentional misconduct, and within the limits permitted by applicable law, CINNOVELIA's total liability under these Terms is capped:

CINNOVELIA cannot be held liable for indirect damages (loss of data, loss of business, loss of opportunity, reputational harm), nor for decisions taken on the basis of outputs generated by AI models. Mandatory consumer protection provisions remain applicable.

16. Force majeure

Neither party shall be liable for any failure resulting from an event of force majeure within the meaning of article 1218 of the French Civil Code (in particular natural disasters, armed conflicts, acts of public authorities, major failures of telecommunications or electricity networks, pandemic).

The processing of personal data is detailed in the privacy policy.

18. Changes to the Terms

CINNOVELIA may modify these Terms at any time. The version in force is the one published on the website at the time of access. Substantial changes will be notified to registered users by email with reasonable prior notice, and continued use after entry into force will constitute acceptance.

19. Assignment

You may not assign or transfer these Terms, in whole or in part, without our prior written consent. CINNOVELIA may freely assign or transfer these Terms to a third party, in particular as part of a reorganization, merger, acquisition or asset transfer, subject to informing users and ensuring the maintenance of their rights.

20. Severability

If any provision of these Terms is held void, illegal or unenforceable by a competent court, the remaining provisions remain in full force. The invalid provision will be replaced by a valid provision pursuing an equivalent economic and legal purpose.

21. Mediation and dispute resolution

In case of dispute, you are invited to contact us first at contact@lockal.ai to seek an amicable resolution. Pursuant to article L.616-1 of the French Consumer Code, consumers may freely resort to a consumer mediator: TODO mediator details. EU Online Dispute Resolution platform: ec.europa.eu/consumers/odr.

22. Governing law and jurisdiction

These Terms are governed by French law. Any dispute falls under the jurisdiction of the competent French courts, subject to consumer protection rules allowing EU consumers to bring proceedings in the court of their place of residence.
